Our client is a growing Financial Institution in the Greater Los Angeles Area that is looking to add an experience Corporate and Securities Counsel to their existing legal team. The position will have direct line of sight to the General Counsel and will work with senior management on a daily basis, providing a clear path for career progression.
This candidate will be responsible for all Securities filings, such as current and periodic reports, proxy statements, and other regulatory filings. They will also be expected to handle all other general corporate governance matters along with drafting materials for board and shareholder meetings.
The firm is ideally looking for candidates with at least 6+ years of experience, either In-House or at a Law Firm, handling securities and regulatory matters; a strong knowledge of all relevant US and NYSE filing regulations; strong interpersonal skills and the ability to work with senior management effectively; and an excellent work ethic, along with a JD from a reputable law school.
Responsibilities:
- Submit SEC and NYSE filings
- Handle general corporate governance matters as they arise
- Draft materials for board and shareholder meetings
- Provide counsel regarding any relevant ad-hoc legal questions
- Maintain an up-to date legal knowledge regarding relevant regulations
Qualifications:
- 6+ years of experience handling securities filings and regulatory matters (experience with financial institutions is strongly preferred)
- A JD from an accredited law school
- A strong working knowledge of relevant SEC regulations
- Strong communication skills
