A reputable renewable energy company is seeking an Assistant General Counsel to assist in the expansion of their legal team. As a leading company in the industry, they are committed to sustainable practices and the development of clean energy solutions. The ideal candidate would have previous experience as a contract manager, preferably within renewable energy.
Position Overview:
They are seeking a dynamic and highly motivated legal professional with the aptitude to join their experienced team as the Assistant General Counsel. In this role, you play a pivotal role in shaping their legal department and serve as the main point of contact for the company's business teams. Candidates should hold a background in dealing with corporate, contract, regulatory, licensing, and financial matters. Additional familiarity with renewable energy, environmental issues, real estate, sustainability, securities filings, consumer law, and related subjects is preferred.
Responsibilities:
- Support the legal function, providing strategic guidance and oversight on development and operating projects by reviewing and negotiating equipment supply agreements, purchase and sale agreements, power purchase agreements, commercial building leases, EPC and subcontractor agreements, ground leases, and providing advice on regulatory and IP issues.
- Conduct thorough due diligence relating to solar acquisitions, as well as negotiate the necessary documentation for financing facilities and tax equity transactions.
- Ensure the provision of clean energy by establishing effective communication and coordination with local utilities and municipalities, including actively liaising to facilitate the necessary permissions and approvals required for clean energy projects.
- Stay informed about pertinent energy laws and regulations pertaining to public corporations and other relevant domains.
Qualifications:
- 2-6 years of legal experience with expertise in contract negotiation and corporate law.
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the bar in New York, Connecticut, or any other state.Excellent communication and project management skills, including a strong desire and ability to present complex topics in a way that is understandable to diverse audiences.
- Ability to provide strategic legal advice on all aspects related to the ownership, construction, development, and operation of on-site solar power, energy storage, and electric vehicle charging facilities, as well as clean energy regulations and electric vehicle charging facilities.
- Extensive understanding of contracts including, PPAs, financing agreements, purchase agreements, lease agreements, consulting agreements, NDAs, development agreements, and lease agreements.
- Ability and strong desire to effectively advise, build relationships, and collaborate with stakeholders within and outside the legal department.
