A top publicly traded biopharmaceutical company is seeking an Associate Director - Transactional Counsel. The Boston based company is looking for a Sr. Attorney to help support a broad array of transactional matters across the business units. This Attorney will work cross functionally with the Business Development, Intellectual Property and Alliance Management teams to execute high level transactions and pursue strategic partnership opportunities.
The ideal candidate will be a business focused attorney who is ready to step into an elite global legal team under the support of the newly appointed Head of Corporate Legal. This candidate will need the ability hit the ground running to support transactional matters including business development, manufacturing, alliance management.
Requirements:
- Offer legal assistance for the successful creation and negotiation of a wide variety of transactions, including intricate licensing, R&D and Commercial stage partnerships, M&A Transactions and initial research collaboration and evaluations.
- Deliver legal expertise in complex business development transactions.
- Provide direction that maximizes companies interests during the negotiation of intricate agreements; conduct due diligence, support transactions, and interpret complex agreements.
- Partner with Business Development, Alliance Management, Finance, IP Colleagues as well as other key stakeholders to effectively manage strategic transactions,
- Become subject matter expert on company's 3rd party relationships, understanding intent, strategy and contractual rights and obligations to advice business and mitigate risk.
Qualifications:
- JD and in active good standing of a state bar.
- 5+ years of experience specifically in the life science space including both in-house and private practice experience.
- 4-6 years of experience with high-level transactions.
- Past advisory on legal matters to senior leadership in transactional matters.
- Strong skills pertaining to collaboration and team focused environments.
