Private Funds Attorney, Assistant Vice President
A Global Fintech Investment Company is looking for a counsel to join their growing International Legal team. This counsel will be working and negotiating with some of the world's largest and most sophisticated financial institutions and supporting private fund launches across EMEA and APAC. The role entails drafting and negotiating distribution agreements, fund marketing materials, and other legal fund documentation.
Responsibilities:
- Work closely with the Head of International Legal.
- Draft and review private fund offering materials, partnership agreements, fund marketing materials, etc.
- Negotiate distribution and placement agreements.
- Work with outside counsel regarding regulatory, corporate, and fund investment work
- Drive legal projects and perform ad-hoc research projects
Qualifications:
- Qualified Solicitor in the UK. Admission to the New York Bar is a plus.
- 2-4 PQE in the Investment Management space
- Exposure to fund formation, Private Equity, and/or Hedge Funds is a plus.
- Familiarity with Luxembourg regulations and corporate practices
- Understanding of the Investment Company Act of 1940, Investment Advisers Act of 1940, the Securities Act of 1933, the Securities Exchange Act of 1934, FINRA regulations, etc.
- Familiarity with fund and cross-border regulations
