A leading renewable energy company is seeking a Corporate Paralegal to join the legal team. The ideal background would have direct experience in a wide range of legal and administrative matters, especially in relation to the acquisition, project financing and development of utility-scale solar projects.
Responsibilities:
- Manage corporate formations, governance, and maintenance, including operating agreements, resolutions, and corporate certificates.
- Interface with customers, vendors, the public, and all levels of employees, including senior and executive management and outside counsel.
- Review and edit legal forms, documents, and contracts to ensure accuracy.
- Support negotiations and the execution of term sheets/LOIs, NDAs, and other transactional documents.
- Perform administrative duties to support legal and finance teams.
- Coordinate closing processes for acquisitions and project finance transactions.
- Prepare a range of internal and external correspondence.
- Support and corrdinate various transactions and projects, including due diligence and document management.
Qualifications:
- Bachelor's degree or equivalent with a Paralegal Studies certification from an accredited program.
- A minimum of 5 years of experience as a paralegal, with a focus on corporate legal matters is preferred.
- Authorization to work in the U.S. without restrictions.
- Previous work experience in the renewable energy or solar acquisition and financing industries is a plus and preferable.
- Strong legal research and document management abilities.
- Ability to work independently and take initiative to meet deadlines with minimal supervision.
- Excellent communication, organization, and multitasking skills.
