Leading Energy Infrastructure Investment Firm - Private Equity Transactions Counsel
A leading investment firm focused on energy transition, digital infrastructure, and decarbonization is seeking a Legal Counsel to join its NYC-based legal team. With a long track record across complex infrastructure investments and significant capital under management, this firm offers a highly visible, deal-focused role working alongside investment and investor relations teams.
This position is primarily transactional, with additional exposure to regulatory and fundraising initiatives, offering broad platform exposure in a fast-paced, collaborative environment.
Key Responsibilities:
- Serve as the lead attorney on deal teams, advising on the execution of middle-market control investments across the U.S.
- Draft and negotiate a wide range of transactional documents, including term sheets, purchase agreements, joint venture agreements, and debt and equity financing documents.
- Support all aspects of the deal lifecycle, including structuring, diligence, risk analysis, and execution of new and add-on acquisitions.
- Partner closely with investment professionals to assess transaction risks and provide practical, business-oriented legal advice; contribute to cross-functional initiatives as a strategic legal advisor.
- Collaborate with investor relations and fundraising teams on co-investments, continuation vehicles, and bespoke fundraising initiatives.
- Oversee outside counsel, lenders, and other service providers, and support portfolio company activity.
Required Background:
- J.D. and 6+ years of experience supporting private equity, infrastructure, or M&A transactions at a top law firm and/or in-house.
- Strong experience drafting and negotiating complex transactional agreements across M&A, joint ventures, and financings.
- Ability to operate in a fast-paced, deal-driven environment with direct exposure to senior stakeholders.
- Strong commercial judgment, communication skills, and ability to work both independently and collaboratively.
