Overview

A top-tier renewable energy company, recognized for its leadership in community solar development, is partnering with us to hire a Commercial Counsel. This organization is committed to expanding access to clean, affordable energy by developing, financing, and managing solar projects that serve local communities across the country. As the company continues to grow, they are seeking a commercially minded attorney to support its sales and business development functions.

The Commercial Counsel will be instrumental in enabling the company's growth by providing strategic legal support across a range of transactional activities. This role is ideal for a lawyer who thrives in fast-paced environments, enjoys working cross-functionally, and has a strong foundation in negotiating and structuring commercial agreements within the energy sector.

Key Responsibilities

  • Collaborate with sales, product, and operations teams to ensure legal alignment with business strategies and deal execution.
  • Draft, negotiate, and manage contracts with channel partners, marketing affiliates, SaaS providers, and other third-party vendors.
  • Lead legal review of developer agreements, project consents, amendments, and related documentation.
  • Support the development and refinement of customer agreements, ensuring they are scalable, compliant, and aligned with business needs.
  • Oversee routine vendor and consultant agreements, ensuring consistency and efficiency in execution.
  • Maintain and evolve a suite of contract templates that reflect company standards, risk tolerance, and regulatory changes.
  • Develop negotiation playbooks and fallback positions to guide internal stakeholders and streamline deal processes.
  • Drive improvements to contract lifecycle management systems and contracting workflows.
  • Assist in commercial strategy development, including client renegotiations and deal structuring.
  • Monitor regulatory developments and integrate compliance requirements into contract terms.
  • Provide training and guidance to internal teams on contract processes and negotiation best practices.

Qualifications

  • Juris Doctor (JD) from an accredited law school and active membership in a U.S. state bar.
  • At least 4 years of legal experience focused on commercial transactions, preferably in-house at a high-growth company or within the renewable energy or clean tech sectors.
  • Demonstrated ability to draft and negotiate a wide range of commercial agreements, including sales, marketing, SaaS, and development contracts.
  • Strong understanding of contract law, risk allocation, and business operations.
  • Familiarity with regulatory frameworks relevant to energy or technology and ability to apply them to commercial agreements.
  • Experience developing legal resources such as templates, playbooks, and internal guidance tools.
  • Proficiency with contract lifecycle management systems and process optimization.
  • Excellent communication and collaboration skills, with the ability to work effectively across departments and with external partners.
