As they continue to scale operations and expand their national footprint, they are seeking a dynamic and experienced legal executive to join their leadership team as their Chief Legal Officer and Corporate Secretary.
Position Summary
The Chief Legal Officer and Corporate Secretary will serve as a key member of the leadership team, responsible for overseeing all legal, regulatory, and compliance matters across the organization. This role will provide strategic legal counsel to the CEO, Board of Directors, and senior leadership, while overseeing transactions, corporate governance and regulatory compliance. The ideal candidate is a business-oriented and has a deep expertise with renewable energy law, M&A transactions, corporate law, and compliance frameworks, and wants to play a critical role in supporting the company's growth, risk management, and operational excellence.
Key Responsibilities
- Leadership & Governance
- Serve as a trusted advisor to the CEO, Board of Directors, and executive team on legal, compliance, and governance matters.
- Act as Corporate Secretary, managing board meetings, resolutions, minutes, and corporate records.
- Lead and mentor the legal and compliance teams, fostering a culture of integrity, accountability, and collaboration.
- Represent the legal function in strategic planning, risk assessment, and business development initiatives.
- Compliance & Regulatory Affairs
- Design and implement a comprehensive compliance program, including policies, training, monitoring, and reporting.
- Ensure adherence to federal, state, and local regulations, including energy, environmental, labor, and corporate laws.
- Monitor regulatory developments and advise on implications for business operations and strategy.
- Lead internal investigations and respond to regulatory inquiries, audits, and enforcement actions.
- Transactional
- Lead legal due diligence, structuring, negotiation, and integration of M&A transactions.
- Collaborate with finance, development, and technical teams to assess legal risks and opportunities in potential deals.
- Ensure transactional documents meet industry standards and support long-term strategic goals.
- Assist in resolving legal issues arising throughout the project lifecycle.
- Draft, review, and negotiate complex commercial agreements, including project development, financing, procurement, and licensing.
- Risk Management & Corporate Integrity
- Identify and mitigate legal and compliance risks across all business units.
- Develop and maintain enterprise risk management frameworks and reporting mechanisms.
- Promote ethical business practices and ensure alignment with company values and stakeholder expectations.
- Provide training and guidance to employees on legal and compliance matters.
Required Qualifications
- J.D. from an ABA-accredited law school.
- Active bar admission in good standing in at least one U.S. jurisdiction.
- 12+ years of legal experience, including significant in-house counsel experience in the renewable energy or infrastructure sectors.
- Proven expertise in M&A, project finance, regulatory compliance, and corporate governance.
- Leadership experience, including managing a legal team and collaborating across departments to support business objectives
- Excellent negotiation, communication, and strategic thinking abilities.
- High ethical standards and sound legal judgment.
