Position Overview:
A fortune 500 insurance company is seeking a highly skilled and experienced Senior Corporate Securities Counsel to join their legal team. This role will be responsible for managing the company's public securities filings and ensuring compliance with U.S. securities laws and regulations. The ideal candidate will have a strong background in corporate and securities law, with a focus on public company reporting and disclosure obligations.
Key Responsibilities:
- Prepare and review periodic and current reports filed with the SEC, including Forms 10-K, 10-Q, 8-K, and proxy statements.
- Manage Section 16 filings (Forms 3, 4, and 5) for directors and executive officers.
- Provide legal support for earnings releases, investor presentations, and other public disclosures.
- Advise on corporate governance matters and support the Board of Directors and its committees.
- Collaborate with internal stakeholders including finance, investor relations, and compliance teams.
- Monitor and interpret changes in securities laws and regulations, and advise on their impact.
- Support capital markets transactions and other strategic initiatives as needed.
Qualifications:
- J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
- Minimum of 4 years of relevant legal experience, preferably with a combination of law firm and in-house public company experience.
- Deep knowledge of SEC reporting requirements, the Securities Exchange Act of 1934, and NYSE/Nasdaq listing standards.
- Exceptional legal drafting, analytical, and communication skills.
- Ability to manage multiple priorities in a fast-paced environment with sound judgment and attention to detail.
Preferred Qualifications:
- Experience in the insurance or financial services industry.
- Familiarity with ESG disclosures and evolving regulatory frameworks.
