Investment Management Attorney

We are seeking a highly skilled and motivated Investment Management Counsel to join our legal team. The ideal candidate will bring deep experience across a broad spectrum of investment management matters, including regulatory compliance, fund formation, and transactional work. This role requires a strategic thinker with excellent legal judgment, strong interpersonal skills, and the ability to collaborate effectively with both legal and business teams. This role will sit in Milwaukee or remotely.

Key Responsibilities

  • Advise on the formation, registration, and ongoing compliance of:
    • Investment advisers under the Investment Advisers Act of 1940
    • Investment companies under the Investment Company Act of 1940
    • Broker-dealers under the Securities Exchange Act of 1934
  • Provide legal support for private fund formation and structuring, including hedge funds, private equity funds, and other pooled investment vehicles
  • Represent institutional investors in fund investments and co-investment transactions
  • Support M&A and other transactions in the investment management space
  • Draft, review, and negotiate a wide range of investment management agreements and corporate documents
  • Monitor and interpret regulatory developments affecting investment management and advise internal stakeholders accordingly
  • Collaborate with compliance, finance, and business teams to ensure alignment with legal and regulatory requirements

Qualifications

  • J.D. from an accredited law school with excellent academic credentials
  • Admission to the bar and in good standing in at least one U.S. jurisdiction; prefereably Wisconsin or Illinois
  • 5+ years of relevant experience at a top-tier law firm or in-house legal department, with a focus on investment management
  • Deep knowledge of U.S. securities laws and regulations applicable to investment advisers, investment companies, and broker-dealers
  • Experience with private fund formation and institutional investor representation
  • Strong organizational and project management skills with the ability to manage multiple priorities
