A tier one reinsurance firm is seeking a Senior Transactional Counsel role to assist its legal team.
Responsibilities:
- Assist in full lifecycle transactions from bids to closing
- Drafts and negotiates a wide variety of agreements, including confidentiality agreements, investment banking and outside advisor engagement letters, definitive purchase and sale agreements, joint venture agreements, reinsurance agreements, trust agreements, and administrative services agreements
- Establishing and maintaining strong working relationships with business leaders across the company, including finance, actuarial, investments, risk, and operations to gain the context and knowledge necessary to effectively provide legal guidance and deliver problem-solving strategies
- Manages outside law firms to obtain cost-effective legal services
- Manages, prepares and oversees (as applicable) necessary regulatory filings and approvals
Qualifications:
- 5+ Years of Legal Experience
- Ideal candidates have worked with reinsurance transactions, regulatory matters for reinsurance transactions (preferably life and annuity transactions)
- J.D. from an ABA-accredited law school and member of a state bar in good standing
- Familiarity with the Model Holding Company Act
