Position Overview:
The successful candidate will play a critical role in supporting corporate governance and legal entity management across a complex global structure. This position is ideal for a legal professional seeking to deepen their expertise in the alternative investment space while working in a collaborative, high-performance environment.
Key Responsibilities Include:
- Drafting and maintaining governance documentation for legal entities (LLCs, LPs, resolutions, etc.)
- Supporting entity formation, modifications, and dissolutions
- Maintaining legal entity databases and structure charts
- Coordinating tax classification elections and annual filings
- Collaborating with internal stakeholders and external counsel
Qualifications:
- Bachelor's degree required
- 3-6 years of paralegal experience in big law or in-house (M&A experience is a plus)
- Proficiency in entity formation and governance documentation
- Familiarity with Delaware corporate and partnership law is advantageous
- Strong organizational, communication, and interpersonal skills
- Proficiency in Microsoft Office Suite; experience with legal entity databases is a plus
