Corporate Paralegal
SUMMARY
The Corporate Paralegal will work closely with the General Counsel and Assistant General Counsel to support a wide range of corporate legal functions. This role involves preparing, reviewing, and coordinating legal documents related to the creation, maintenance, merger, acquisition, and dissolution of business entities, along with managing corporate records and governance documentation.
POSITION QUALIFICATIONS / REQUIREMENTS
- Bachelor's degree from an ABA‑accredited paralegal program or a recognized paralegal certification
- Experience at a HEALTHCARE ORGANIZATION
- 7-10 years of experience in corporate law, either in a law firm or an in‑house legal department
- Strong knowledge of corporate legal practices
- Familiarity with mergers and acquisitions, entity restructuring, and related corporate transactions
- Ability to understand and navigate complex legal deal structures
JOB DUTIES / RESPONSIBILITIES
- Manage corporate governance tasks, including drafting resolutions, updating bylaws, and maintaining corporate books and records
- Draft and review a variety of contracts
- Collaborate with the Contracts Database Administrator on contract amendments, assignments, and terminations
- Assist with litigation matters, including document production and subpoena responses
- Conduct legal research to support attorneys and organizational needs
- Prepare and file required federal and state corporate documentation
- Perform additional responsibilities and projects as assigned
