Securities & Governance Counsel
Overview:
A publicly traded global industrial technology company is seeking a Corporate Counsel to join its high-performing legal team. This is an opportunity to play a visible role supporting SEC reporting, corporate governance, capital markets transactions, executive compensation, M&A activity, and other strategic initiatives that directly impact the business. The position offers significant interaction with senior leadership and cross-functional stakeholders across finance, investor relations, treasury, tax, and human resources.
Key Responsibilities:
- Lead and support public company reporting and disclosure obligations, including the preparation and review of proxy statements, Forms 10-K, 10-Q, and 8-K, Section 16 filings, and related securities law and corporate governance matters.
- Provide legal support for investor-facing communications, earnings materials, presentation reviews, and related external disclosures.
- Support corporate governance initiatives, including board and committee administration, meeting materials, and governance policies.
- Advise on corporate finance activities, including capital markets transactions, refinancing initiatives, and other strategic financing matters.
- Support the administration of equity compensation programs and employee share-based incentive plans.
- Counsel internal stakeholders on executive compensation and broader compensation-related legal matters.
- Assist with legal entity management, subsidiary governance, and corporate restructuring projects across multiple jurisdictions.
- Support M&A activities, integrations, and regulatory compliance matters associated with strategic transactions.
- Draft and negotiate intercompany agreements and provide guidance on corporate structure optimization initiatives.
Qualifications:
- J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- Approximately 5+ years of experience handling securities, governance, corporate, or capital markets matters within a law firm and/or public company environment.
- Strong understanding of public company compliance, disclosure obligations, and corporate governance best practices.
- Experience advising on securities law, capital markets transactions, board governance, or related corporate matters.
