Securities Counsel
Key Responsibilities:
- Support SEC filings (10-K, 10-Q, 8-K)
- Assist with proxy statement and annual shareholder meeting preparation
- Manage Section 16 compliance and insider trading processes
- Support 10b5-1 plan administration
- Partner with Finance, IR, HR, Tax, Treasury, and other business functions on disclosure and governance matters
- Assist with legal entity management and subsidiary governance
- Support Board and committee materials, meetings, and governance documentation
- Provide legal support for treasury and corporate finance matters
- Improve and maintain SEC, governance, and entity management processes
- Handle special projects as needed
- Assist with corporate governance maintenance
