Director - Securities Counsel
Overview
A rapidly growing publicly traded advanced manufacturing company is seeking a Director - Securities Counsel to join its legal team. This individual will play a key role supporting securities compliance, capital markets activities, corporate governance, and strategic corporate initiatives across a dynamic and expanding organization.
Reporting to senior legal leadership, this attorney will serve as a trusted advisor to executive management and cross-functional stakeholders, partnering closely with finance, accounting, investor relations, and external counsel on a wide range of corporate matters.
Key Responsibilities
- Lead public company securities compliance, including preparation and review of periodic SEC filings (10-K, 10-Q, 8-K), proxy materials, and insider trading reporting.
- Support capital markets and financing transactions, including equity raises, debt offerings, and other strategic corporate finance initiatives.
- Advise on corporate governance matters, board and committee activities, and subsidiary management.
- Manage legal aspects of corporate transactions from initial structuring through closing, including due diligence, drafting, negotiation, and execution.
- Coordinate and oversee outside counsel on transactional, governance, and regulatory matters.
- Partner with finance and executive leadership teams to provide practical legal guidance on corporate and strategic initiatives.
- Monitor legal and regulatory developments affecting public companies and advise stakeholders on compliance obligations.
- Assist with the development and implementation of corporate policies, governance procedures, and compliance programs.
Qualifications
- Juris Doctor (JD) from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- Experience advising public companies on securities law, SEC reporting, and corporate governance matters.
- Strong background supporting capital markets transactions, corporate finance matters, and disclosure obligations.
- Familiarity with board governance, subsidiary management, and general corporate law.
- Background at an Am Law 100 or similarly recognized law firm highly preferred
