Corporate & Commercial Transactions Associate (2+ Years Experience)
We are currently partnered with a leading firm seeking a highly motivated and detail-oriented Corporate & Commercial Transactions Associate with 2+ years of experience to join their dynamic legal team. The ideal candidate will have a strong background in handling a wide range of corporate and commercial matters, including complex mergers and acquisitions (M&A), technology transactions, and other significant business deals involving both private and public companies, as well as private equity funds.
Key Responsibilities:
- Draft, review, and negotiate definitive and ancillary transaction documents.
- Manage all phases of the deal process, from inception through closing.
- Maintain and develop strong client relationships, acting as a trusted advisor on day-to-day legal and business matters.
- Provide strategic legal counsel on a variety of commercial transactions and corporate governance issues.
- Collaborate with internal teams and external stakeholders to ensure seamless execution of transactions.
- Stay current on relevant legal and regulatory developments affecting clients and their industries.
Qualifications:
- J.D. from an accredited law school and admission to the bar in good standing.
- 2+ years of relevant experience in a law firm or in-house legal department.
- Demonstrated experience with complex M&A, technology transactions, and other major business deals.
- Strong drafting, negotiation, and analytical skills.
- Excellent judgment, communication, and interpersonal skills.
- Proven ability to manage multiple projects and meet deadlines in a fast-paced environment.
- Commitment to delivering exceptional client service and contributing to a collaborative team culture.

- Experience working with private equity clients.
- Familiarity with cross-border transactions and international deal structures.
