Commercial Counsel (Government Contracts)
Key Responsibilities
- Draft, review, and negotiate a variety of commercial agreements, including government contracts, subcontracts, teaming agreements, NDAs, and licensing agreements.
- Advise internal stakeholders on legal and regulatory requirements related to government procurement, including FAR, DFARS, and other applicable laws.
- Support proposal development and contract lifecycle management, ensuring compliance with solicitation requirements and internal policies.
- Provide legal support for audits, investigations, and disputes involving government entities.
- Collaborate with cross-functional teams including Sales, Finance, Compliance, and Program Management to ensure contract execution aligns with business objectives and regulatory obligations.
- Monitor changes in government contracting regulations and communicate implications to relevant teams.
- Assist in the development and implementation of policies and training programs related to government contracting and compliance.
- Support M&A due diligence and integration activities involving government contracts.
Qualifications
- Juris Doctor (JD) from an accredited law school; active bar membership in good standing.
- 5+ years of legal experience, with a strong focus on government contracts in a law firm or in-house legal department.
- In-depth knowledge of FAR, DFARS, and other federal procurement regulations.
- Experience supporting commercial transactions in both public and private sectors.
- Experience with GSA schedules, IDIQ contracts, and SBIR/STTR programs.
- Familiarity with export controls (ITAR/EAR) and cybersecurity requirements (e.g., CMMC).
- Background in technology, defense, aerospace, or professional services industries.
