Our client, an industry-leading Wholesale Distributor is looking to bring on a new position on the legal team, a Senior M&A Counsel. With the company in full growth mode, the General Counsel is looking to bring on an individual to be the lead legal oversight for M&A and growth strategy. With several high-impact M&A initiatives on the horizon, this individual will work directly with the General Counsel, private equity sponsors, and upper level executives to evaluate and execute deals to grow the company. This role will also oversee an array of legal matters, including support with commercial transactions, data privacy, compliance, regulatory, IP, data privacy, anti-trust, and outside counsel.

Location: Dallas, Texas

Reports to: General Counsel

Job Description:

  • Lead legal oversight for all M&A activity, including sourcing, evaluating, structuring, negotiating, and closing acquisitions, joint ventures, and other strategic investments.
  • Act as a strategic partner to executive leadership and private equity sponsors, providing legal and business guidance on deal strategy, valuation considerations, and integration planning.
  • Drive and manage the entire deal lifecycle, including due diligence, risk assessment, regulatory compliance, and post-closing integration, with a focus on aligning legal execution with business objectives.
  • Collaborate cross-functionally with finance, operations, and corporate development teams to assess acquisition targets and support business case development.
  • Draft, review, and negotiate a wide range of complex transaction documents, including purchase agreements, NDAs, LOIs, and transition services agreements.
  • Monitor and advise on antitrust and competition law issues related to acquisitions and market expansion.
  • Support general corporate and commercial legal work, including:
    • Drafting and negotiating commercial contracts
    • Advising on data privacy, regulatory and compliance, and intellectual property matters.
    • Overseeing corporate governance and entity management

Requirements:

  • Juris Doctor (J.D) degree from an accredited law school, at least five years of relevant legal experience
  • Admission to any bar in the US, and in good standing, is required for this role.
  • Skill and ability to handle Mergers and Acquisitions (M&A) transactions, including due diligence, deal structuring, and negotiation.
  • Skill and ability to advise multiple business entities, subsidiaries, or divisions within a large organization
  • Strong understanding of corporate law, mergers & acquisitions, contracts, intellectual property, and regulatory compliance.
  • Knowledge of legal and ethical rules and local, state, and federal regulations regarding mergers & acquisitions.
  • Ability to manage complex legal issues in a fast-paced, high-pressure environment.
  • Ability to draft, review, and negotiate deal documents.
  • Ability to manage outside counsel.

Compensation & Benefits:

  • 200k - 220k
  • Short term incentive/bonus
