Senior Counsel - M&A overview:
Our client, an established company in the energy industry, is seeking a Senior Attorney to provide legal support across mergers and acquisitions, commercial transactions, and general corporate matters. This senior-level role offers the opportunity to contribute meaningfully to strategic initiatives and play a key role in structuring and executing complex business transactions. The ideal candidate will bring strong experience in transactional work, the ability to navigate legal and regulatory frameworks, and a pragmatic approach to supporting business objectives in a dynamic and fast-paced environment.
Senior Counsel M&A Key Responsibilities:
Serve as legal counsel on mergers, acquisitions, divestitures, joint ventures, and other corporate transactions from inception through integration.
Draft, review, and negotiate a broad range of legal agreements, including M&A documents, commercial contracts, and other corporate instruments.
Conduct legal due diligence and risk assessments related to transactional and commercial matters.
Work closely with cross-functional teams, including business development, finance, and operations, to support deal structuring and execution.
Provide legal advice and guidance on a wide range of corporate and commercial legal issues.
Stay informed on changes in laws and regulations relevant to M&A, finance, and corporate transactions.
Manage relationships with outside counsel to ensure efficient and effective legal support.
Assist with general corporate governance and compliance as needed.
Senior Counsel M&A Qualifications:
Juris Doctor (JD) degree from an accredited law school and active bar membership.
5-11 years of legal experience with a focus on M&A, commercial transactions, and general corporate matters, either in-house or at a law firm.
Strong knowledge of M&A, finance, and commercial legal frameworks and principles.
Experience drafting, reviewing, and negotiating a variety of transactional documents and complex agreements.
Sound understanding of legal and regulatory considerations relevant to M&A and commercial operations.
Excellent communication and negotiation skills with the ability to effectively advise internal stakeholders.
Strong analytical and problem-solving abilities with attention to detail and sound judgment.
Ability to manage multiple priorities and work independently in a fast-paced, business-driven environment.
