Senior Counsel, Commercial Lending & Finance

We are partnered with a highly regarded law firm to support the continued growth of its Commercial Lending & Finance practice. This is an excellent opportunity for an experienced attorney to take on a leadership role within a collaborative team advising financial institutions, private lenders, and corporate borrowers on a wide range of sophisticated financing transactions.

Senior Counsel, Commercial Lending Responsibilities:

  • Lead and manage complex commercial finance transactions, representing lenders and borrowers in secured and unsecured lending matters
  • Draft, review, and negotiate loan agreements, credit facilities, intercreditor agreements, security documents, and other financing-related documentation
  • Structure and oversee a variety of financing transactions, including acquisition financings, asset-based lending facilities, syndicated loans, and revolving credit facilities
  • Provide strategic advice on collateral, perfection, priority, and enforcement issues under the UCC
  • Direct due diligence efforts, coordinate transaction teams, and manage deal execution from inception through closing
  • Serve as a primary point of contact for clients, providing practical business-focused counsel and fostering long-term relationships
  • Mentor and supervise junior attorneys while collaborating closely with partners and clients on sophisticated financing matters

Senior Counsel, Commercial Lending Qualifications:

  • J.D. from an accredited law school and admitted to practice (or ability to waive in)
  • 7+ years of experience in commercial lending, banking, finance, or related transactional practice at a law firm
  • Significant experience drafting, negotiating, and managing complex loan transactions and financing arrangements
  • Strong knowledge of secured transactions, UCC principles, and commercial lending market practices
  • Proven ability to independently manage matters and serve as a trusted advisor to clients
  • Strong business judgment, analytical skills, and attention to detail
  • Excellent communication and relationship-building skills
  • Experience supervising or mentoring junior attorneys is preferred
