Corporate M&A & Capital Markets Associate Attorney

We are partnered with a highly regarded law firm to support the growth of its Corporate, M&A, and Securities practice. This is an excellent opportunity to join a collaborative team advising public and private companies, private equity sponsors, investment banks, and investors on a broad range of corporate transactions, securities matters, and capital markets offerings.

Corporate M&A & Capital Markets Associate Responsibilities:

• Represent public and private companies, private equity sponsors, and financial institutions in mergers, acquisitions, divestitures, and other strategic transactions
• Assist with capital markets transactions, including public and private offerings of equity and debt securities
• Draft, review, and negotiate transaction documents, including purchase agreements, merger agreements, underwriting agreements, investor rights agreements, and related ancillary documents
• Advise clients on SEC reporting and compliance obligations, corporate governance matters, stock exchange requirements, and securities law issues
• Conduct legal due diligence and manage transaction workflows from initial structuring through closing
• Coordinate with clients, opposing counsel, investment bankers, accountants, and other advisors throughout the transaction process
• Assist with the preparation and review of registration statements, proxy statements, periodic reports, and other SEC filings
• Work closely with partners and clients to identify legal and business risks and develop practical solutions

Corporate M&A & Capital Markets Associate Qualifications:

• J.D. from an accredited law school and admitted to practice (or ability to waive in)
• 3+ years of law firm experience focused on corporate transactions, M&A, securities, capital markets, or related corporate matters
• Experience representing clients in mergers and acquisitions and/or capital markets transactions
• Familiarity with SEC reporting obligations, securities regulations, and corporate governance matters preferred
• Strong drafting, negotiation, analytical, and project management skills
• Ability to manage multiple matters simultaneously in a fast-paced transactional environment
• Excellent communication skills and ability to work directly with clients and transaction teams
• Strong attention to detail and commitment to delivering high-quality work
