Vice President of Legal

We are looking for a seasoned, forward‑thinking Director of Legal and Compliance to lead all legal, regulatory, and intellectual property functions. This leader will ensure the organization upholds all applicable laws and maintains the highest standards of ethics and shared values. The ideal candidate will offer expert counsel and drive key initiatives related to corporate governance, risk management, regulatory compliance, and the safeguarding of intellectual property rights and assets.

Key Responsibilities

Legal Affairs

  • Provide legal guidance to senior leadership on corporate, regulatory, employment, and contractual issues.
  • Prepare, analyze, and negotiate contracts, agreements, and internal policies to safeguard the organization's interests.
  • Oversee legal disputes, litigation matters, and regulatory inquiries, working with outside counsel when appropriate.
  • Maintain compliance with all relevant laws, including those governing corporations, labor, and data protection.
  • Support the Board of Directors as needed on current, evolving, and emerging legal and compliance matters.

Intellectual Property (IP) Management

  • Manage the protection and enforcement of the company's IP assets, including trademarks, copyrights, patents, and trade secrets.
  • Provide guidance on IP licensing, technology transfers, and collaborative arrangements to enhance the value of IP assets.
  • Track potential IP violations and pursue legal remedies where required.
  • Create and execute strategies to reinforce the organization's IP position and ensure compliance with IP regulations.

Compliance & Risk Management

  • Design and oversee compliance programs aimed at reducing legal and regulatory exposure.
  • Stay current on legislative and regulatory changes and provide proactive, business‑aligned recommendations.
  • Conduct internal reviews and risk evaluations to verify adherence to compliance requirements.
  • Champion initiatives that support ethical behavior and compliant practices across customer interactions, partner/vendor relationships, and internal culture.
  • Lead the Company's Compliance Committee and manage its quarterly meetings.

Corporate Governance

  • Advise the Board and executive team on best‑practice governance standards.
  • Maintain corporate records, regulatory filings, and governance policies to ensure full compliance.
  • Oversee internal reporting structures and manage compliance‑related training for staff.

Qualifications & Skills

  • Juris Doctor (JD) and an active license to practice law.
  • A minimum of 8 years' experience in legal, compliance, and IP functions, ideally within a corporate, for‑profit environment.
  • Deep expertise in corporate law, regulatory compliance, risk mitigation, and intellectual property law.
  • Demonstrated experience managing IP portfolios, negotiating licensing agreements, and addressing infringement issues.
  • Strong business judgment with the ability to assess organizational needs and provide strategic counsel.
  • Proven leadership ability and success working collaboratively across departments..
