Structured Finance Attorney
A sophisticated and growing law firm is seeking an experienced Structured Finance Associate or Counsel to join its finance practice in Charlotte, Chicago, New York, or San Francisco. This is an excellent opportunity for an attorney looking to join a strong transactional platform, work on complex financing matters, and take on significant responsibility and direct client interaction.
Responsibilities
- Represent financial institutions, lenders, borrowers, issuers, investors, sponsors, and other market participants in a broad range of structured finance and securitization transactions
- Advise clients on asset-backed securitizations, structured lending facilities, warehouse facilities, and other complex financing transactions
- Draft and negotiate credit agreements, purchase and sale agreements, security agreements, servicing agreements, indentures, and other financing and transaction documents
- Manage transactions from initial structuring and documentation through closing
- Coordinate due diligence and work closely with clients, opposing counsel, and other parties involved in transactions
- Provide guidance on transaction structures and help identify and resolve complex legal and commercial issues
- Work directly with clients and assume meaningful responsibility for the management and execution of matters
- Mentor and oversee junior associates as appropriate
Qualifications
- 2+ years of experience in structured finance, securitization, asset-backed finance, or a closely related transactional finance practice
- Experience with one or more asset classes, including consumer loans, commercial loans, residential or commercial mortgage assets, equipment leases, auto loans and leases, credit card receivables, marketplace loans, or other financial assets
- Experience with ABS transactions, warehouse facilities, secured lending, or other structured financing arrangements
- Strong drafting, negotiation, analytical, and transaction-management skills
- Ability to independently manage significant portions of sophisticated financing transactions
- Strong communication skills and comfort working directly with clients
- J.D. from an accredited law school
- Admission or eligibility for admission in the applicable jurisdiction
