Corporate & Securities Associate Attorney
A top-tier boutique firm is seeking a Corporate & Securities Associate Attorney with 2+ years of experience to join its growing transactional practice. This is an exceptional opportunity to work closely with experienced partners and sophisticated clients on a broad range of corporate, securities, governance, and transactional matters.

Responsibilities
- Advise public and private companies on a wide range of corporate and securities law matters.
- Assist with Securities Act and Exchange Act compliance, including periodic reporting obligations and disclosure requirements.
- Prepare and review SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and registration statements.
- Counsel clients on corporate governance matters, board and committee responsibilities, and public company compliance issues.
- Support capital markets transactions, including public and private securities offerings.
- Assist clients with mergers and acquisitions, strategic transactions, joint ventures, and other corporate matters.
- Draft and negotiate transaction documents, corporate governance materials, and commercial agreements.
- Conduct due diligence and assist in managing transaction processes from inception through closing.
- Work directly with clients, management teams, boards of directors, and other stakeholders on day-to-day corporate matters.
Qualifications
- J.D. from an accredited law school with strong academic credentials.
- Active bar membership in good standing.
- Minimum of 2 years of experience practicing corporate and securities law at a law firm.
- Experience advising public companies on SEC reporting and corporate governance matters.
- Exposure to capital markets transactions, securities offerings, and general corporate matters.
- Experience supporting M&A transactions and other strategic corporate initiatives is preferred.
- Strong drafting, analytical, and communication skills.
- Ability to manage multiple projects in a fast-paced environment while providing exceptional client service.
