Position Overview

Our client is seeking a Senior Investments Counsel to join its expanding legal team. This individual will play a critical role supporting the formation, governance, and ongoing management of private investment vehicles, while providing legal guidance on a range of investment management, regulatory, and securities law matters.

The ideal candidate will have a strong background in private funds, investment management, or asset management and enjoy partnering closely with business, compliance, operations, and executive leadership teams.

Key Responsibilities

  • Draft, review, and negotiate private fund offering and governing documents, including private placement memoranda, partnership agreements, subscription agreements, and side letters.
  • Support the launch, structuring, and ongoing management of private investment vehicles.
  • Advise on fundraising activities, investor communications, investment transactions, and fund governance matters.
  • Provide counsel regarding the Investment Advisers Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and related regulatory frameworks.
  • Assist with regulatory filings, compliance initiatives, and evolving legal requirements impacting investment managers and private funds.
  • Review and negotiate commercial agreements, service provider contracts, and other strategic business arrangements.
  • Collaborate with internal stakeholders to identify and mitigate legal and regulatory risks.
  • Monitor legal and regulatory developments affecting the investment management industry and provide practical guidance to business leaders.
  • Manage relationships with external counsel on specialized matters and strategic projects.

Qualifications

  • J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.
  • 4-10 years of legal experience gained in private practice and/or an in-house legal department.
  • Significant experience advising private funds, investment managers, or other asset management businesses.
  • Strong understanding of the Investment Advisers Act and other U.S. securities laws governing investment products and advisers.
  • Experience drafting and negotiating fund formation and investor-facing documentation.
  • Excellent communication, analytical, and project management skills.
  • Ability to operate in a fast-paced and collaborative environment while managing multiple priorities.

Preferred Experience

  • Private equity, hedge fund, private credit, or alternative investment fund experience.
  • Advisers Act, Investment Company Act, or Commodity Exchange Act exposure.
  • Experience supporting institutional investment products and complex investment structures.
  • In-house asset management or private funds experience.
  • Fund formation, fundraising, and ongoing fund operations support.
