Senior Employee Benefits & Executive Compensation Attorney/Partner
A nationally recognized law firm is seeking a Senior Employee Benefits & Executive Compensation Attorney with 7+ years of experience to join its thriving practice. This fully remote opportunity offers the ability to work with public and private companies, private equity sponsors, nonprofit organizations, and other sophisticated clients on a broad range of employee benefits and executive compensation matters.
Position Overview
The ideal candidate will have substantial experience advising clients on employee benefits compliance, retirement plans, health and welfare plans, ERISA matters, and benefits issues arising in corporate transactions. Experience with executive compensation and equity incentive arrangements is also desirable, though the practice is primarily focused on employee benefits counseling and transactional support.
Responsibilities
- Advise clients on the design, implementation, administration, and governance of employee benefit plans.
- Counsel employers and plan sponsors on compliance with ERISA, the Internal Revenue Code, ACA, COBRA, HIPAA, and other applicable laws and regulations.
- Draft and review plan documents, amendments, summary plan descriptions, administrative procedures, and related benefits materials.
- Advise on qualified retirement plans, including 401(k), pension, profit-sharing, and cash balance plans.
- Counsel clients on health and welfare benefit plans and related compliance obligations.
- Provide employee benefits support in mergers and acquisitions, private equity transactions, financings, and corporate restructurings, including due diligence and transaction-related benefits analysis.
- Assist clients with IRS and Department of Labor audits, investigations, and correction programs.
- Advise on executive compensation matters, including employment agreements, deferred compensation arrangements, equity incentive plans, retention awards, and change-in-control provisions.
- Partner with attorneys across corporate, tax, labor and employment, and private equity practices to provide comprehensive client service.
Qualifications
- J.D. from an accredited law school.
- Active bar membership in good standing.
- 7+ years of experience practicing employee benefits and executive compensation law.
- Strong knowledge of ERISA, qualified retirement plans, health and welfare plans, and employee benefits compliance matters.
- Experience supporting M&A, private equity, and other corporate transactions.
- Familiarity with executive compensation arrangements and Section 409A issues.
- Excellent drafting, analytical, and client counseling skills.
- Ability to independently manage sophisticated matters and maintain strong client relationships.
