Senior Corporate Paralegal
My client, a Fortune 500, publicly traded manufacturing company with a global footprint and a commitment to innovation, sustainability, and operational excellence is growing their legal team! The legal team plays a critical role in supporting the company's strategic initiatives and ensuring compliance with complex regulatory frameworks.
Key Responsibilities
- Assist with preparation and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, and Section 16 filings (Forms 3, 4, and 5).
- Support the corporate secretary function, including preparation of board and committee materials, resolutions, minutes, and annual meeting documentation.
- Maintain corporate records and entity management for domestic and international subsidiaries.
- Coordinate annual and quarterly certifications and D&O questionnaires.
- Assist with insider trading compliance and equity plan administration.
- Support M&A and other strategic transactions, including due diligence and closing documentation.
- Liaise with internal departments (Finance, HR, Tax) and external counsel on corporate matters.
- Monitor regulatory developments and assist with implementation of governance best practices.
- Manage legal department databases and document management systems.
Qualifications
- Bachelor's degree and paralegal certificate required.
- Minimum of 7 years of experience as a corporate paralegal, preferably in a public company or large law firm.
- Strong knowledge of SEC filings, corporate governance, and public company compliance.
- Experience with entity management software (e.g., hCue, GEMS, Diligent Entities).
- Exceptional attention to detail and organizational skills.
- Ability to manage multiple priorities in a fast-paced environment.
- Excellent written and verbal communication skills.
- High level of professionalism and discretion.
Preferred Qualifications
- Experience in the manufacturing or industrial sector.
- Familiarity with equity compensation plans and administration.
- Working knowledge of ESG reporting and sustainability disclosures.
