Senior Corporate Paralegal

Key Responsibilities

  • Corporate Governance & Entity Management

    • Maintain corporate records and minute books for domestic and international subsidiaries.
    • Assist with board and committee meeting preparation, including agendas, resolutions, and minutes.
    • Coordinate annual filings, business licenses, and other corporate compliance requirements.
  • Contract Management

    • Draft, review, and manage a wide range of commercial agreements (NDAs, vendor contracts, service agreements, etc.).
    • Maintain and update the contract management system.
    • Track key contract dates and obligations.
  • Legal Operations

    • Support legal department initiatives, including process improvements and technology implementations.
    • Assist with legal billing, budgeting, and outside counsel management.
    • Conduct legal research and prepare summaries or reports as needed.
  • Compliance & Risk Management

    • Support compliance programs, including trade compliance, data privacy, and anti-bribery initiatives.
    • Assist with internal investigations and audits.
    • Help coordinate responses to subpoenas, litigation holds, and regulatory inquiries.

Qualifications

  • Bachelor's degree and Paralegal Certificate from an ABA-approved program.
  • Minimum of 2 years of experience as a corporate paralegal, preferably in a global or transportation/logistics environment.
  • Strong knowledge of corporate governance, contract law, and regulatory compliance.
  • Proficiency with legal technology tools (e.g., contract lifecycle management systems, entity management platforms).
  • Excellent organizational, communication, and interpersonal skills.
  • Ability to handle confidential information with discretion and professionalism.
  • Comfortable working in a fast-paced, dynamic, and global environment.
