Corporate Paralegal
Position Overview
We are looking for a detail-oriented Corporate Paralegal to join the legal and compliance team within a fast-moving chemicals company. This role is ideal for someone with a strong background in corporate governance, contract administration, and legal operations.
Primary Duties
- Prepare, review, and manage various legal agreements including NDAs, agency contracts, purchase and sale agreements, corporate guarantees, and service contracts.
- Support corporate governance activities by drafting resolutions, coordinating document notarization and legalization, and managing filings with government agencies across different regions.
- Maintain and update legal records, databases, and document management systems in line with company policies. Assist with internal and external audits related to legal and compliance matters.
- Conduct legal research and produce concise summaries on a range of topics.
- Monitor and track important deadlines for regulatory filings, contract renewals, and submissions.
- Collaborate with legal and compliance teams on global projects and strategic initiatives.
- Help implement, audit, and enforce internal policies and procedures.
- Manage invoicing for the legal department.
- Contribute to the optimization of legal workflows and systems, including vendor coordination and internal reporting.
Qualifications
- Associate or Bachelor's degree.
- 5+ years of experience as a paralegal or in a similar role
- Solid understanding of corporate and contract law, with hands-on experience drafting and reviewing various types of contracts.
- Strong organizational, communication, and project coordination skills.
- Proficiency in Microsoft Office and familiarity with contract lifecycle and document management platforms.
- Certified Paralegal (e.g., NALA, TBLS)
- Notary Public commission in Texas
