The Opportunity

Our client is seeking a Senior Corporate Counsel to serve as the lead legal advisor for its commercial and industrial real estate portfolio.

This senior-level position will provide strategic legal guidance on acquisitions, dispositions, commercial leasing, development projects, construction matters, facilities management, land use, and real estate due diligence. The attorney will independently manage a high volume of sophisticated transactions while partnering with internal stakeholders to structure deals, identify risk, and develop practical business solutions.

The ideal candidate will have extensive real estate transactional experience, strong commercial judgment, and the ability to advise senior leadership within a complex corporate environment.

Key Responsibilities

  • Serve as the primary legal advisor on commercial and industrial real estate matters across the United States.
  • Draft, review, negotiate, and finalize real estate purchase and sale agreements.
  • Negotiate commercial leases, lease amendments, easements, construction agreements, letters of intent, nondisclosure agreements, and other transactional documents.
  • Support property acquisitions, dispositions, expansions, relocations, and development projects.
  • Review title commitments, title reports, surveys, zoning matters, environmental materials, and other real estate due diligence documentation.
  • Advise business teams on land use, development, construction, and facilities management matters.
  • Structure transactions and provide practical recommendations to mitigate legal, financial, and operational risks.
  • Collaborate with real estate, construction, facilities, finance, compliance, and operational teams on strategic projects.
  • Manage outside counsel relationships, legal budgets, and transactional expenses.
  • Prepare legal updates, risk assessments, and strategic recommendations for senior leadership.
  • Develop and maintain real estate templates, processes, policies, and legal best practices.
  • Provide training and compliance guidance to corporate and field personnel.
  • Support cross-functional legal department initiatives and special projects related to company growth.
  • Travel periodically to support significant transactions and business operations.

Qualifications

  • Juris Doctor degree from an accredited law school.
  • Active license to practice law and in good standing.
  • 7+ years of real estate transactional legal experience.
  • Strong experience with commercial or industrial real estate transactions.
  • Demonstrated ability to draft, review, and negotiate complex purchase and sale agreements, commercial leases, easements, construction agreements, and development documents.
  • Experience supporting acquisitions, dispositions, development projects, expansions, and other sophisticated real estate transactions.
  • Knowledge of title commitments, surveys, zoning matters, land use issues, and real estate due diligence.
  • Prior in-house experience or experience advising a large, multi-state organization is strongly preferred.
  • Experience supporting a publicly traded organization is beneficial.
  • Demonstrated ability to independently manage a high volume of transactions and competing priorities.
  • Experience managing outside counsel, legal budgets, and transactional costs.
  • Ability to identify legal and business risks and provide practical, commercially focused solutions.
  • Experience advising senior executives and business stakeholders on complex legal matters.
