About the Company
Our client, a rapidly growing manufacturing company headquartered in the San Jose area, is looking to identify an in-house counsel to focus on invesment contracts, including equity and debt financing and cross‑border financing transactions. The role requires a strategic business partner who can balance legal risk with practical, growth‑oriented solutions.Responsibilities
Investment & Financing Transactions
- Lead legal oversight of equity and debt financings, including term sheets, investment agreements, notes, warrants, and investor rights documentation.
- Manage legal aspects of public and private fundraising, including compliance obligations, disclosures, and due diligence.
- Oversee cross‑border financing transactions, coordinating with international advisors and ensuring multi‑jurisdictional compliance.
- Support relationships with investors, financial institutions, and external counsel.
Qualifications
- J.D. from an accredited law school; licensed to practice law in California (or eligible for California in‑house registration).
- 5+ years of experience in corporate, finance, asset management or transactional law, preferably with a mix of top‑tier law firm and in‑house experience.
- Demonstrated expertise in:
- Equity & debt financing
- Cross‑border financing
- Public & private investments
- Complex commercial transactions
- Strong ability to negotiate high‑value and sophisticated contracts.
- Experience supporting manufacturing, industrial, or hardware‑driven companies preferred.
