REMOTE Senior Director & Senior Counsel

Our client, a rapidly growing manufacturer is seeking a highly motivated corporate attorney to join as its Senior Counsel, Senior Director leading and evolving the legal functions and processes at the company, increasing levels of professionalism, automation, efficiency and excellence. This role is responsible for leading the legal function - including managing one additional legal individual overseas, as well as outside counsel.

Title: Senior Director, Senior Counsel

Compensation: 150,000 - 200,000 + bonus & benefits

Location: Fully remote with domestic and international travel, preferred Central Time Zone or Midwest.

Job Responsibilities:

  • Commercial Contracts - partner with the business to negotiate complex commercial contracts for both sales and procurement
  • Employment Matters - partner with human resources to ensure compliance and effective human capital processes and contracts
  • Litigation Management - oversee outside litigation counsel
  • M&A - partner with the Fernweh legal team for bolt-on acquisitions and divestments, including due diligence production, data room management and transaction preparedness
  • Corporate Governance - partner with finance on managing corporate governance matters
  • Intellectual Property -manage company intellectual property assets
  • Regulatory Compliance - ensure the business is maintaining compliance with regulatory requirements
  • NDAs - manage the NDA process for the business

Experience:

  • 6 + years, combination of big law and inhouse preferred
  • Commercial Contracts - hands-on legal experience with commercial contracting in the industrial manufacturing space, particularly in industries involving quasi-governmental entities
  • Some M&A experience would be nice to have, especially with due diligence documentation review and production
  • Intellectual Property & Trade Secrets - experience with managing an intellectual property portfolio and trade secret protection and confidentiality
  • Regulatory Compliance - familiarity with requirements for companies in industrial markets
  • Corporate Governance - experience with corporate governance matters and corporate minute books for an international organization with subsidiaries across Europe and Asia
  • Executive Compensation and Labor and Employment - familiarity with incentive plans and employment matters for international business

Qualifications:

  • JD from a top-tier law school with active state bar membership
  • Outstanding records of academic and managerial or professional achievement
