Overview
We are seeking a seasoned General Counsel to serve as the organization's chief legal advisor and strategic business partner. This role requires a highly experienced legal generalist with deep expertise across labor & employment, M&A, corporate governance, litigation management, risk mitigation, and corporate and commercial contracting. The General Counsel will lead and develop a team of attorneys and work closely with executive leadership to support business strategy, growth initiatives, and regulatory compliance.
Fluency in Korean is a mandatory requirement, as the role involves regular interaction with Korean‑speaking executives, stakeholders, and external counsel.
Responsibilities
- Serve as the company's principal legal advisor, providing practical, business‑oriented guidance to executive leadership and the Board of Directors
- Oversee and manage all legal matters across the organization, acting as a true legal generalist
- Lead, mentor, and develop a team of in‑house attorneys and legal professionals
- Advise on labor and employment (L&E) matters, including compliance, employee relations, investigations, policies, and dispute resolution
- Support mergers, acquisitions, joint ventures, and strategic transactions, including due diligence, structuring, negotiation, and post‑transaction integration
- Manage corporate governance matters, including Board and committee support, corporate records, regulatory filings, and entity management
- Oversee litigation and dispute management, including coordination with outside counsel, budgeting, and strategic risk assessment
- Identify, assess, and mitigate legal and regulatory risks across all business operations
- Draft, review, negotiate, and manage a wide range of commercial and corporate contracts, including vendor, customer, partnership, and licensing agreements
- Ensure compliance with applicable U.S. federal, state, and local laws and regulations, as well as relevant international considerations
- Act as a key liaison between the company and external counsel in the U.S. and Korea
- Support cross‑functional teams (HR, Finance, Operations, Compliance) on legal strategy and execution
- Contribute to long‑term strategic planning and business growth initiatives
Required Qualifications
- Juris Doctor (JD) from an accredited law school
- Active license and membership in good standing with a U.S. state bar (California preferred)
- 12+ years of legal experience, including significant in‑house experience; senior law firm experience strongly valued
- Proven experience leading and managing a legal team
- Fluency in Korean and English (spoken and written) - required
- Strong executive presence with the ability to communicate complex legal issues clearly to non‑legal stakeholders
- Highly pragmatic, business‑minded approach to legal problem‑solving
Preferred Qualifications
- Experience supporting multinational or Korea‑based organizations operating in the U.S.
- Background working directly with Boards of Directors and senior executives
- Experience in the Food and Beverage, Biotech, Entertainment, or Logistics industries preferred
