Position Overview:
Our Client is seeking an experienced and strategic General Counsel to join their executive team in New York City (or insert specific location). The ideal candidate will bring extensive experience in real estate transactions, land use, zoning, financing, construction contracts, joint ventures, and regulatory compliance. This leadership role will provide comprehensive legal oversight across all aspects of the company's operations and projects.
Key Responsibilities:
Serve as the chief legal advisor to the executive team on all legal matters affecting the company's operations and investments.
Draft, review, and negotiate complex real estate transaction documents including purchase and sale agreements, leases, loan documents, and joint venture agreements.
Provide legal guidance on land use, zoning, permitting, entitlements, and environmental issues.
Manage and oversee outside counsel on litigation, transactional, and regulatory matters.
Advise on real estate financing strategies, including debt, equity, and public-private partnerships.
Ensure company compliance with applicable federal, state, and local laws, including building codes and fair housing regulations.
Develop and implement legal risk management strategies to protect the company's assets and interests.
Support the executive team in strategic planning, acquisitions, and business development initiatives.
Oversee legal aspects of construction contracts, development agreements, and service contracts with consultants and contractors.
Qualifications:
Juris Doctor (JD) degree from an accredited law school.
Active license to practice law in any State.
Minimum of 8-10 years of legal experience, with a strong focus on real estate transactions, development, and construction law.
Deep understanding of real estate law, finance, and development processes.
Proven experience negotiating and structuring large-scale real estate deals.
Excellent leadership, negotiation, and communication skills.
Ability to operate with sound judgment in a fast-paced, high-stakes environment.
Strong business acumen and ability to align legal strategy with business goals.
Preferred Qualifications:
Prior experience as General Counsel or Deputy General Counsel at a real estate investment or development firm.
Familiarity with local land use and zoning regulations.
Experience with REITs, fund structures, or tax-advantaged investments.
Background in managing legal teams or leading cross-functional initiatives.
