Equity Attorney
Primary Responsibilities
- Lead legal support for equity management matters
- Oversee compliance for equity programs
- Advise on design and administration of equity plans aligned with legal and business objectives
- Partner with Finance, HR, Payroll, and Equity teams on grants, vesting, settlements, etc.
- Interpret LLC agreement provisions and related equity documents
Securities Regulation & Compliance
- Advise on securities law implications of equity transactions (Securities Act, Exchange Act, SEC rules, exemptions)
- Ensure compliance with federal and state securities laws
- Prepare and review filings (e.g., Form D)
- Track regulatory changes and update policies and documentation
- Manage outside securities counsel
Equity Transactions & M&A
- Support M&A activity, including equity structuring, diligence, disclosures, and integration
- Assist with capital-raising and investor documentation (e.g., subscription agreements)
- Advise on complex equity events (redemptions, restructurings, governance)
- Collaborate with Employment Legal on equity-related employment matters
- Draft and maintain equity plans, award agreements, subscriptions, and guidance materials
- Ensure documentation reflects regulatory and structural updates
Legal Support
- Provide broad legal support, including employment-related matters and regulatory changes
- Advise leadership on equity governance and compliance
- Deliver updates on equity programs and legal developments
- Promote a culture of compliance and continuous improvement
Qualifications
- JD and active U.S. bar membership
- 3-6 years' experience in equity compensation, corporate, and securities law (law firm or in-house)
- Strong knowledge of U.S. securities laws and exemptions
- Experience drafting equity plans, award agreements, and private offering documents
- Understanding of private company equity structures
- Ability to manage cross-functional initiatives and balance legal risk with business goals
