Employee Benefits & Executive Compensation Attorney
A highly respected law firm is seeking an experienced Employee Benefits & Executive Compensation Counsel or Partner to join its growing practice. This is an excellent opportunity for a sophisticated attorney looking to work with a collaborative team while counseling employers, private equity sponsors, and public and private companies on a broad range of employee benefits and executive compensation matters.
The ideal candidate will have at least 7 years of relevant experience gained at a law firm and a strong understanding of the benefits and compensation issues that arise in corporate transactions, ongoing plan administration, and executive compensation arrangements.
Responsibilities
- Advise clients on the design, implementation, and administration of qualified retirement plans, health and welfare plans, and other employee benefit programs.
- Counsel clients regarding ERISA, the Internal Revenue Code, ACA, COBRA, HIPAA, and other employee benefits regulations.
- Draft, review, and negotiate executive compensation arrangements, including employment agreements, severance agreements, retention arrangements, change-in-control agreements, equity compensation plans, and incentive compensation programs.
- Support mergers, acquisitions, and other corporate transactions by conducting employee benefits and executive compensation due diligence and advising on transaction-related compensation issues.
- Assist clients with regulatory compliance, plan corrections, audits, and governmental inquiries.
- Work directly with sophisticated clients across a variety of industries and collaborate closely with attorneys in corporate, tax, labor and employment, and other practice areas.
Qualifications
- J.D. from an accredited law school.
- Active bar admission in at least one U.S. jurisdiction.
- Minimum of 7 years of employee benefits and executive compensation experience in a law firm setting.
- Strong working knowledge of ERISA, executive compensation, and tax-qualified and nonqualified benefit plans.
- Experience supporting mergers and acquisitions, private equity transactions, and other corporate matters is preferred.
- Excellent drafting, analytical, and client management skills.
- Ability to work independently in a remote environment while collaborating effectively with colleagues and clients.
