Corporate Tax Attorney / Partner

A leading law firm is seeking a Corporate Tax Attorney (Senior Associate, Counsel, or Partner) to join its Tax practice. This role focuses on complex U.S. transactional and advisory work across a broad client base, including private equity sponsors, closely held businesses, and large corporations.

This is an opportunity to handle sophisticated domestic matters while playing a key role in client relationships and practice growth.

Responsibilities

  • Advise clients on the U.S. federal and state tax aspects of corporate transactions, including M&A, restructurings, joint ventures, and financings
  • Structure transactions to achieve tax-efficient outcomes within domestic frameworks
  • Provide guidance on partnership and corporate tax matters
  • Draft and negotiate tax provisions in transaction documents, including purchase agreements, operating agreements, and financing documents
  • Conduct tax diligence and identify risks and structuring opportunities
  • Collaborate with corporate, private equity, and finance teams on integrated deal execution
  • Serve as a trusted advisor to clients, delivering practical and business-oriented tax solutions
  • Mentor and develop junior attorneys
  • For Partner candidates: contribute to business development efforts and expand client relationships

Qualifications

  • J.D. from an accredited law school and admission to practice in the relevant jurisdiction
  • LL.M. in Taxation preferred but not required
  • 5+ years of experience in corporate and transactional tax matters (9+ years typically expected for Partner candidates)
  • Strong knowledge of U.S. federal and state tax law, including partnership and corporate taxation
  • Experience advising on M&A and private equity transactions preferred
  • Excellent drafting, analytical, and communication skills
  • Ability to manage complex matters independently and lead client relationships
  • For Partner candidates: portable book of business preferred
