Public Companies M&A Attorney
A top client is seeking a Public Companies M&A Associate to join its Corporate practice. This role focuses on advising publicly traded companies on complex mergers and acquisitions, as well as broader corporate governance and securities law matters.
This is an opportunity to work on high-profile transactions with direct client exposure and meaningful responsibility from day one.
Responsibilities
- Advise publicly traded companies on mergers, acquisitions, divestitures, and other strategic transactions
- Draft and negotiate key transaction documents, including merger agreements, purchase agreements, and related ancillary agreements
- Manage and coordinate due diligence processes across internal teams and external advisors
- Support public company compliance, including SEC reporting, proxy statements, and disclosure obligations
- Advise on corporate governance matters, including board processes, fiduciary duties, and shareholder communications
- Assist with stock exchange listing requirements and ongoing public company obligations
- Collaborate with internal practice groups, including tax, finance, and regulatory teams, on transaction execution
- Manage deal timelines and serve as a key point of contact for clients and counterparties
Qualifications
- J.D. from an accredited law school and admission to practice in the relevant jurisdiction
- 3+ years of experience in corporate M&A and securities matters at a leading law firm
- Experience representing public companies in M&A transactions required
- Familiarity with SEC reporting requirements, disclosure obligations, and corporate governance matters
- Strong drafting and negotiation skills
- Ability to manage multiple transactions in a fast-paced environment
- Excellent analytical, communication, and organizational skills
