Corporate Counsel
A growing logistics company is seeking a Corporate Counsel to join the legal team. This role will provide broad-based legal support across the organization, including commercial contracts, transactions, regulatory compliance, employment law, corporate governance, and risk management
Key Responsibilities:
- Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, logistics service agreements, NDAs, and partnership agreements.
- Support employment law matters, including policy development, dispute resolution, and compliance with labor regulations.
- Assist with corporate governance, including board resolutions, entity management, and corporate filings.
- Support mergers and acquisitions (M&A) activities, including due diligence, transaction structuring, contract negotiation, and post-deal integration.
- Collaborate with cross-functional teams including operations, finance, HR, and procurement to identify and mitigate legal risks.
- Liaise with external counsel on specialized legal matters and litigation.
- Monitor changes in relevant laws and regulations and advise the business accordingly.
Qualifications:
- Juris Doctor (JD) or equivalent legal degree; licensed to practice law in the U.S.
- Fluency in Mandarin and English is required.
- Strong understanding of commercial law, contract negotiation, and regulatory compliance.
- Excellent communication, analytical, and organizational skills.
