Corporate Attorney
Key Responsibilities
- Advise clients on business formation, corporate governance, and contract matters.
- Draft and negotiate agreements for mergers and acquisitions (M&A) and other complex transactions.
- Conduct due diligence and manage closing processes.
- Handle disputes involving purchase price adjustments, earn-outs, and valuation of damages.
- Analyze financial statements and transaction documents to resolve complex issues.
- Provide guidance to clients on potential liabilities and ensure policies are enforced as intended.
Qualifications:
- 3+ years of experience in complex business transactions, including M&A, corporate governance, and contract matters.
- Strong academic credentials; undergraduate degree in finance or accounting preferred.
- Previous work experience with tax, finance, or accounting related matters.
- Ability to work independently and collaboratively.
