A highly regarded client is seeking a Corporate Attorney to join its team in Columbus, offering a unique opportunity to work on traditional corporate and business transactions, while specializing in post-closing M&A disputes and transaction risk assessments. The position offers direct mentorship from senior leadership and clear pathways for advancement and promotion. This role is ideal for candidates who thrive at the intersection of law and finance. This will be based in Columbus, OH.

Key Responsibilities

  • Advise clients on business formation, corporate governance, and contract matters.
  • Draft and negotiate agreements for mergers and acquisitions (M&A) and other complex transactions.
  • Conduct due diligence and manage closing processes.
  • Handle disputes involving purchase price adjustments, earn-outs, and valuation of damages.
  • Analyze financial statements and transaction documents to resolve complex issues.
  • Provide guidance to clients on potential liabilities and ensure policies are enforced as intended.

Qualifications:

  • 3+ years of experience in complex business transactions, including M&A, corporate governance, and contract matters.
  • Strong academic credentials; undergraduate degree in finance or accounting preferred.
  • Previous work experience with tax, finance, or accounting related matters.
  • Ability to work independently and collaboratively.
