Position Overview:
A high performing alterative investment advisor is seeking a Associate General Counsel to join their legal team. This role will focus on supporting the formation and ongoing operation of private investment funds, and advising on regulatory matters related to investment advisers. The ideal candidate will have experience working with fund sponsors, legal counsel, and service providers to navigate the complexities of fund structuring and compliance.
Key Responsibilities:
- Draft and negotiate private fund formation documents, offering memoranda, and investor agreements.
- Advise on regulatory compliance under the Investment Advisers Act of 1940.
- Support fund launches, restructurings, and ongoing governance matters.
- Collaborate with internal teams and external counsel to ensure legal and regulatory alignment.
- Monitor legal developments affecting private funds and investment advisers.
Qualifications:
- J.D. from an accredited law school and active bar membership.
- 3-7 years of experience at a top law firm or in-house legal department.
- Strong background in private fund formation and investment adviser regulation.
- Excellent drafting, analytical, and communication skills.
- Experience with fund administration or working with fund service providers is a plus.
