Position Summary
Our Client is looking for a Senior Counsel, Finance to join their growing legal team and play a key role in supporting the company's strategic growth. This individual will serve as the primary legal advisor on complex project finance and M&A transactions, with a strong emphasis on tax equity financing in the renewable energy sector.
This is a high-impact role that will work cross-functionally with internal teams and external stakeholders to structure, negotiate, and close transactions that are critical to their business. The ideal candidate is a proactive, business-minded attorney with deep experience in renewable energy finance and a passion for clean energy.
Responsibilities
- Serve as lead legal counsel on project finance transactions, including tax equity, construction debt, and back-leverage structures
- Provide legal support for M&A transactions, including due diligence, structuring, negotiation, and post-closing integration
- Draft, review, and negotiate complex transaction documents such as equity investment agreements, credit agreements, purchase and sale agreements, and membership interest agreements
- Collaborate with internal teams including finance, development, legal, and executive leadership to align legal strategy with business objectives
- Manage relationships with external counsel, ensuring high-quality and cost-effective legal support
- Assist in the development and refinement of legal templates, playbooks, and transaction checklists to streamline processes
- Monitor legal and market developments in renewable energy finance and provide strategic guidance to internal stakeholders
- Participate in cross-functional initiatives to improve risk management and deal execution efficiency
Required Qualifications
- J.D. from an accredited law school and active bar membership
- Minimum 5 years of experience with project finance transactions, including tax equity in the renewable energy space
- Minimum 5 years of experience with M&A transactions in the renewable energy sector
- Strong understanding of energy project structures, risk allocation, and financing mechanisms
- Excellent negotiation, drafting, and communication skills
- Ability to thrive in a fast-paced, mission-driven environment
