M&A Paralegal
Key Responsibilities
Due Diligence & Transaction Support
- Assist with due diligence by reviewing corporate records, contracts, financial documents, and regulatory filings
- Organize and maintain data rooms, track document requests, and ensure timely responses from internal and external stakeholders
- Identify and escalate legal risks or inconsistencies uncovered during diligence
Document Drafting & Review
- Draft and revise transaction documents, including purchase agreements, disclosure schedules, board resolutions, and ancillary agreements
- Coordinate with internal counsel and external advisors to ensure alignment on terms and structure
Closing Coordination
- Manage closing checklists, monitor deliverables, and ensure all closing conditions are met
- Facilitate signing and execution of documents, coordinate with counterparties, and oversee closing logistics
- Handle post-closing filings (e.g., UCCs), document archiving, and integration-related legal tasks
- Maintain organized records of executed agreements and closing materials for audit and compliance purposes
Process Optimization
- Enhance M&A workflows by improving templates, standardizing diligence processes, and implementing legal tech tools such as CLM systems
- Collaborate with legal operations to ensure scalable and repeatable transaction support
