Legal Counsel - Renewable Energy Finance & M&A
Location: Houston, TX (Hybrid - 4 days in office)
A leading, well-capitalized renewable energy platform is seeking a Legal Counsel to join its growing in-house team. This organization develops, owns, and operates utility-scale clean energy assets across the United States and is backed by a globally recognized infrastructure investor. With a strong and expanding pipeline of solar and storage projects, the company is focused on disciplined execution, long-term partnerships, and innovative approaches to land use and energy delivery.
The Role
This attorney will play a key role supporting finance transactions and M&A activity, with a focus on project finance, tax equity, and structured financing transactions. The position offers direct exposure to complex, high-value deals and collaboration with senior internal stakeholders and external partners across the renewable energy space.
Key Responsibilities
- Support the structuring, negotiation, and execution of tax equity, debt financing, and tax credit transfer transactions
- Advise on project finance matters across the lifecycle, including fundings, amendments, and ongoing deal maintenance
- Coordinate closely with lenders, investors, tax advisors, and outside counsel throughout diligence and closing processes
- Assist with M&A transactions, including diligence, documentation, and integration support
- Advise on regulatory considerations impacting transactions
- Review key project agreements (EPC, PPAs, supply agreements, interconnection)
- Partner with finance/treasury on post-closing matters, including compliance and ongoing obligations
Qualifications
- J.D. and active bar admission in at least one U.S. jurisdiction
- 5-8 years of experience in project finance, tax equity, M&A, or energy/infrastructure transactions
- Background at a law firm, energy, infrastructure fund, or financial institution preferred
- Ability to manage multiple deals and workstreams in a fast-paced environment
- Strong drafting, negotiation, and stakeholder management skills
- Commercial mindset and ability to partner with business teams effectively
