Overview
Our client, a leading private equity investment firm, is seeking a Vice President, Legal Counsel to join their Hong Kong office. The ideal candidate will be a Hong Kong-qualified lawyer with 8+ years of post‑qualification experience and a strong background in private equity fund formation, regulatory matters, and ongoing fund governance.
Key Responsibilities
- Lead legal workstreams for fund formation, including structuring, drafting, and negotiating fund documents.
- Support capital-raising activities and investor negotiations (LPAs, side letters, subscription agreements).
- Provide legal advice relating to investment transactions, including SPVs, co-investments, and deal-related documentation.
- Advise on SFC regulatory matters, licensing, compliance, and ongoing governance of fund vehicles.
- Work closely with external counsel, internal investment, compliance, and finance teams.
- Oversee post‑closing fund administration matters and periodic regulatory filings.
Key Requirements
- Hong Kong-qualified lawyer (mandatory).
- 8+ years PQE, ideally gained in international law firms or reputable private equity firms.
- Strong experience in private equity fund formation (Asia/HK focus preferred).
- Solid knowledge of SFC regulations, offshore structures (Cayman, Luxembourg, etc.), and fund governance frameworks.
- Commercial mindset, strong communication skills, and ability to work closely with business teams.
- Fluent English required; Mandarin is an advantage but not mandatory (can adjust based on your client).

- Tier‑1 HK law firms with funds/regulatory practices
- In-house counsel from private equity, venture capital, alternative asset managers, or hedge funds with hybrid experience
