Corporate Counsel - Public Company
A beloved Convenience/Retail Store Chain is expanding their legal team. This fast-growing company puts community and customers first. Valued in the Billions, this company continues to scale up massively.
This company has recently gone public, so they are looking to hire a Corporate Counsel focusing on Governance & Securities to handle all public company filings.
This position is 5 days a week on-site in Fort Worth, TX.
Responsibilities:
- Prepare and review SEC filings
- Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings
- Ensure compliance with US securities law and SEC regulations
- Handle reportings
- Perform corporate governance
- Prepare for board and shareholder meetings
- Ensure compliance
- Work directly with board and C-Suite execs
- Support commercial agreements
Requirements:
- JD from accredited law school
- Eligibility to practice in-house
- 4-6+ years of legal experience
- Public company experience preferred or public company representation within a law firm
- Public company filing and reporting experience
- Ability to work confidentially and comfortably with shareholders and C-Suite execs
- Strong business acumen and professionalism
- 5 days a week on-site in Fort Worth, TX HQ
