Commercial Counsel
Functions
- Draft, review, and negotiate a wide range of commercial agreements (supply, OEM, distribution, software, services, tech licenses, development, NDAs).
- Advise internal teams-Sales, Finance, Business Management, Supply Chain-on contract terms and business risks.
- Support legal/trade compliance, regulatory matters, and contract performance.
- Maintain and improve contract templates, policies, and processes.
- Support corporate compliance programs (FCPA, export controls, ethics).
- Assist with due diligence, contract review, and integration for strategic transactions.
- Provide training on commercial legal topics.
Education & Experience
- J.D. from an accredited U.S. law school.
- 7+ years legal experience, including 3+ years in commercial counseling.
- Strong preference for in‑house experience in manufacturing, energy, or technology.
- Strong knowledge of U.S. and international commercial law
- Proven ability to independently draft/negotiate complex agreements.
- Excellent written and verbal communication; able to translate legal issues for non‑legal audiences.
- Highly organized; able to manage multiple priorities in fast‑paced environments.
- Strong judgment; ability to assess and mitigate legal and business risks.
- Working knowledge of antitrust, IP licensing (plus), FCPA, and global anti‑bribery laws.
- Experience with international operations and global contract management.
