Associate General Counsel

Position Overview

Growing bank is seeking a versatile and business-minded attorney to serve as a key legal advisor across a broad range of corporate, regulatory, employment, securities, and commercial matters. This role offers significant exposure to executive leadership and the Board of Directors, providing practical legal guidance that supports strategic business objectives within a complex financial services environment.

Key Responsibilities

• Advise business units, operations teams, and senior management on a wide range of legal, regulatory, governance, and risk-related matters.
• Provide counsel on employment law issues, including workforce compliance, employee relations, internal investigations, wage and hour matters, and employment-related disputes.
• Support public company disclosure obligations, including SEC filings, periodic reporting, corporate governance requirements, and investor communications.
• Draft, review, and negotiate a variety of agreements, including commercial contracts, vendor agreements, employment documents, leases, licenses, and corporate governance materials.
• Manage and oversee outside counsel relationships involving litigation, regulatory inquiries, investigations, and transactional matters.
• Advise on lending transactions, credit facilities, loan documentation, restructurings, workouts, and related due diligence activities.
• Monitor legal and regulatory developments and provide practical guidance regarding business impacts and emerging risks.
• Partner closely with Compliance, Risk, Human Resources, and other stakeholders on enterprise-wide initiatives and regulatory matters.
• Assist with corporate transactions, subsidiary governance, board and committee matters, and entity management activities.

Qualifications

• J.D. and active bar membership in good standing.
• Experience advising financial institutions, public companies, or other highly regulated organizations.
• Strong background in one or more of the following areas: employment law, securities disclosure, corporate governance, commercial contracts, banking, or financial services regulation.
• Excellent judgment, communication, and stakeholder management skills.
• Ability to operate independently, manage competing priorities, and provide practical, business-oriented legal advice.

Preferred Background

• Experience supporting SEC reporting and public company governance matters.
• Employment law expertise, including investigations and workforce compliance.
• Litigation experience is highly valued for its analytical, problem-solving, and adaptability skills, although this is primarily a broad-based corporate and advisory role rather than a litigation position.
